At Zanett, we recognize the importance of sound corporate governance and seek to follow best practices in all governance matters. While many stock-exchange-listed companies are giving consideration to delisting or becoming private, we believe remaining a public company and practicing good governance are fundamental to maximizing shareholder value. State, federal and securities laws all impose requirements on the conduct and activities of both our Board of Directors and management, and we intend to comply with these requirements.

As needed, we will seek outside counsel and the advice of professionals specializing in governance to supplement our knowledge of this constantly evolving discipline. The Board and executive management of the Company review and assess the adequacy of compliance with good governance practices on an annual basis.
